Welcome to AgriCart

These Terms of Service govern access to and use of the AgriCart marketplace, including our website, platform, account features, quote tools, ordering tools, communications, payment coordination, and related marketplace services.

By creating an account, requesting a quote, placing an order, listing products, accepting an order, communicating through the platform, or otherwise using AgriCart, you agree to these Terms of Service.

If you use AgriCart on behalf of a business, farm, dealership, supplier, manufacturer, distributor, organization, or other entity, you confirm that you have authority to bind that entity to these Terms.


Business Use Only

AgriCart is intended for business and commercial use only. The platform is not intended for personal, household, or consumer purchases.

By using AgriCart, users confirm that they are acting for business, agricultural, commercial, institutional, dealership, supplier, manufacturer, or organizational purposes, and not as consumers.


Marketplace Role

AgriCart is a business-to-business marketplace designed to connect agricultural buyers, dealers, distributors, farm supply businesses, producers, manufacturers, suppliers, and other approved marketplace participants.

Unless AgriCart expressly states otherwise in writing, AgriCart is not the manufacturer, supplier, seller, distributor, importer, exporter, carrier, installer, or warrantor of products listed on the platform.

Products are supplied, sold, fulfilled, warranted, and supported by the applicable seller, supplier, manufacturer, dealer, distributor, or other marketplace participant. AgriCart may facilitate marketplace administration, order documentation, payment coordination, settlement, platform fees, communication, and coordination between buyers and sellers.

AgriCart does not control and is not responsible for the acts, omissions, products, listings, warranties, delivery performance, regulatory compliance, or business practices of independent marketplace participants.


Account Registration and Access

Certain areas of AgriCart may require an approved account. Users agree to provide accurate, current, and complete information when registering for or using the platform.

Users are responsible for maintaining the confidentiality of their login credentials and for all activity that occurs under their account.

Businesses are responsible for all users, administrators, employees, contractors, agents, or representatives who access AgriCart through their account or on their behalf. A business is responsible for orders, quote approvals, listings, communications, account changes, and other activity submitted through its account credentials or authorized users.

AgriCart may approve, reject, suspend, restrict, or terminate accounts where an account is inaccurate, inactive, unauthorized, used improperly, creates risk, or is inconsistent with the intended business-to-business purpose of the platform.


User Responsibilities

Buyers are responsible for reviewing product details, specifications, pricing, shipping information, order quantities, taxes, duties, lead times, payment terms, and any seller-specific terms before placing an order or accepting a quote.

Buyers are responsible for determining whether products are suitable for their intended use, location, soil conditions, crop application, livestock use, equipment compatibility, installation environment, resale plans, regulatory requirements, and business needs.

Buyers are also responsible for obtaining any permits, licences, approvals, inspections, import authorizations, or other requirements applicable to their purchase, possession, installation, resale, or use of products.

Sellers are responsible for ensuring that all products, listings, pricing, inventory information, specifications, safety information, labels, certifications, warranties, shipping terms, return terms, and related content they provide are accurate, complete, current, lawful, and not misleading.

Sellers are responsible for fulfilling accepted orders, honouring confirmed prices and terms, providing required documentation, complying with applicable laws, handling applicable warranties and product support, and promptly notifying AgriCart and affected buyers of product recalls, safety issues, listing errors, fulfilment issues, or other material concerns.


Prohibited Uses

Users must not use AgriCart for fraudulent, misleading, abusive, unlawful, or unauthorized purposes.

Users must not submit false, inaccurate, incomplete, infringing, unsafe, or misleading information; access or attempt to access another user’s account, data, systems, or communications without authorization; scrape, crawl, copy, harvest, or extract platform data except as expressly permitted by AgriCart; interfere with platform security, availability, performance, or integrity; upload malware, harmful code, or content that may damage AgriCart or another party’s systems; misuse confidential, pricing, supplier, buyer, or transaction information obtained through AgriCart; or circumvent AgriCart fees, payment flows, quote processes, or marketplace requirements.

Users may not use AgriCart to identify, contact, solicit, or transact with marketplace participants for the purpose of avoiding AgriCart’s fees, payment processes, marketplace rules, or platform requirements, except where AgriCart expressly permits off-platform transactions in writing.


Product Information and Availability

AgriCart and its marketplace participants make reasonable efforts to provide accurate product information. However, product descriptions, images, specifications, prices, availability, and lead times may change without notice.

Images may be representative and may not show the exact configuration, colour, size, accessories, packaging, version, or included components of a product.

Buyers should confirm critical specifications before ordering, especially for technical, regulated, custom, electrical, structural, livestock, environmental, installation-sensitive, or region-specific products.


Product Compliance and Restricted Products

Users are responsible for complying with all laws, regulations, standards, permits, licences, certifications, labelling requirements, safety requirements, import and export rules, sanctions, and product restrictions applicable to the listing, sale, purchase, shipment, resale, installation, or use of products.

Certain products may be regulated, restricted, hazardous, region-specific, professional-use only, or unavailable in certain jurisdictions.

AgriCart may remove listings, restrict sales, cancel orders, suspend accounts, delay payouts, or request additional information where AgriCart believes a product, transaction, listing, buyer, seller, destination, or use may be unlawful, restricted, unsafe, fraudulent, or inconsistent with platform requirements.

Sellers must promptly notify AgriCart and affected buyers of any product recall, safety notice, stop-sale notice, regulatory issue, defect, hazard, labelling issue, certification issue, or other material issue affecting products listed or sold through AgriCart.


Pricing, Quotes, Fees, and Currency

Prices displayed on AgriCart may vary based on buyer group, pricing tier, supplier agreement, region, currency, quote status, product availability, volume, shipping method, taxes, duties, tariffs, brokerage, payment terms, or other applicable factors.

Some products may be subject to quote-based pricing, seller approval, freight confirmation, currency conversion, manual review, minimum order quantities, or other commercial requirements before final order acceptance.

Where pricing is based on a source currency different from the buyer’s display or transaction currency, the final price may be affected by applicable exchange rates, timing, and platform configuration.

AgriCart may apply marketplace fees, service fees, transaction fees, payment processing fees, or other charges where disclosed during the purchasing process, agreed in writing, or set out in applicable seller, buyer, or platform terms.

If there is a conflict between a displayed price, quote, order confirmation, invoice, seller-specific term, buyer document, or written agreement, the applicable final written confirmation accepted by the relevant parties will control, unless AgriCart expressly states otherwise in writing.


Taxes, Duties, and Customs

Buyers are responsible for all applicable taxes, duties, tariffs, customs charges, brokerage fees, levies, and similar amounts associated with their orders, unless expressly stated otherwise in writing.

Tax, duty, freight, customs, brokerage, and currency estimates displayed on AgriCart may be estimates only and may change based on product classification, destination, shipping method, customs processing, currency conversion, tax rates, or applicable law.

Sellers are responsible for providing accurate tax, customs, origin, classification, export, safety, and product documentation where required for their products and transactions.

AgriCart may rely on information provided by buyers, sellers, carriers, tax providers, customs brokers, payment processors, and other service providers and is not responsible for errors, delays, assessments, penalties, or adjustments caused by inaccurate or incomplete information provided by those parties.


Orders and Acceptance

Submitting an order, quote request, purchase request, or checkout through AgriCart does not guarantee acceptance by the seller or AgriCart.

Orders may be subject to seller confirmation, inventory availability, credit approval, payment authorization, shipping review, product eligibility, minimum order quantities, compliance review, documentation requirements, or other commercial conditions.

AgriCart or the applicable seller may cancel, reject, delay, or modify an order where there is an error in pricing, product information, availability, freight calculation, tax calculation, payment processing, account eligibility, compliance status, or other material order information.

Any purchase order, confirmation, invoice, email, portal submission, or other document issued by a buyer or seller will not modify these Terms or add additional terms unless expressly accepted in writing by AgriCart. AgriCart rejects conflicting or additional terms contained in user documents unless expressly agreed in writing.


Purchases and Payments

Payment methods, timing, credit terms, invoice terms, deposits, payment authorizations, purchase limits, account limits, and settlement procedures may vary depending on the buyer, seller, product category, order type, payment provider, and platform configuration.

Buyers agree to pay all amounts due for orders placed or approved through their account, including product costs, applicable taxes, duties, tariffs, shipping, brokerage, handling, marketplace fees, payment processing fees, and other disclosed charges.

Any credit terms, invoice terms, purchase limits, account limits, or delayed-payment arrangements are subject to approval and may be modified, suspended, or withdrawn at any time. AgriCart or the applicable seller may require prepayment, deposits, payment authorization, credit review, purchase-order documentation, or additional verification before accepting or fulfilling an order.

AgriCart may use third-party payment processors or financial service providers to support payment collection, authorization, settlement, refunds, reversals, chargebacks, and related transaction services. Use of those services may be subject to additional terms from the applicable provider.

AgriCart or the applicable seller may suspend account access, delay fulfilment, cancel orders, restrict future purchases, recover collection costs, or charge permitted interest or late fees where amounts are unpaid, reversed, charged back, disputed in bad faith, or otherwise not received when due.

Buyers are responsible for payment reversals, chargebacks, failed payments, bank fees, collection costs, or other costs resulting from payment failure or unauthorized payment disputes, except to the extent caused by AgriCart’s error.


Seller Payouts and Settlement

Seller payouts, settlement timing, reserves, holds, deductions, refunds, reversals, and chargeback handling may depend on AgriCart’s marketplace configuration, payment processor rules, seller agreement, buyer payment status, risk review, compliance requirements, and applicable law.

AgriCart may withhold, delay, offset, or recover amounts where reasonably necessary to address refunds, disputes, chargebacks, suspected fraud, unpaid fees, errors, legal requirements, or marketplace risk.

Specific seller settlement terms may be governed by the applicable seller agreement, fee schedule, order documentation, or written program terms.

Shipping, Delivery, Title, and Risk

Shipping options, freight costs, delivery timelines, pickup arrangements, customs requirements, and delivery responsibilities may vary by seller, product, buyer location, order size, shipping method, and agreed order terms.

Delivery dates and lead times are estimates unless expressly confirmed in writing. AgriCart is not responsible for delays caused by sellers, suppliers, manufacturers, carriers, customs authorities, weather, labour disruptions, supply shortages, inaccurate delivery information, payment delays, compliance holds, or other circumstances outside AgriCart’s reasonable control.

Title, ownership, and risk of loss transfer according to the applicable seller terms, shipping terms, Incoterms, order confirmation, or written agreement between the buyer and seller. If no specific transfer terms are stated, title and risk of loss transfer when the seller delivers the product to the carrier, unless applicable law requires otherwise.


Returns, Cancellations, and Warranty Claims

Returns, cancellations, exchanges, warranty claims, and product support are generally governed by the applicable seller’s policies and any manufacturer warranty terms.

Buyers should review seller-specific terms before placing an order. Certain products may be custom, configured, special order, made-to-order, non-returnable, subject to restocking fees, subject to cancellation fees, or subject to freight limitations.

Unless AgriCart expressly provides a written warranty or return commitment for a specific transaction, AgriCart does not provide product warranties, returns, refunds, repairs, replacements, or warranty support.

AgriCart may assist with communication between buyers and sellers, but does not guarantee any return, refund, replacement, warranty outcome, dispute outcome, or claim resolution unless expressly agreed in writing.


Marketplace Participant Disputes

Buyers and sellers are responsible for resolving disputes between themselves regarding products, specifications, pricing, fulfilment, delivery, returns, warranties, payment issues, product support, and related transaction matters.

AgriCart may, but is not required to, assist with communication, documentation, or marketplace administration in connection with a dispute.

AgriCart’s involvement in a dispute does not make AgriCart responsible for the underlying product, transaction, seller obligation, buyer obligation, warranty, refund, or claim outcome.


Privacy and Data

AgriCart collects and uses information necessary to operate the marketplace, manage user accounts, process quotes and orders, communicate with buyers and sellers, support payments, improve platform functionality, maintain security, and comply with legal or business obligations.

AgriCart will handle personal information in accordance with applicable privacy laws and its Privacy Policy. Users are responsible for ensuring that any personal or business information they provide through the platform is accurate and authorized for use.

Users may use buyer, seller, supplier, pricing, quote, order, and platform information obtained through AgriCart only for legitimate marketplace and transaction purposes.


Confidentiality

Users may receive access to non-public business, pricing, product, supplier, buyer, quote, order, technical, operational, or marketplace information through AgriCart.

Users agree to use such information only for legitimate marketplace purposes and not to disclose it to unauthorized parties or use it to compete unfairly, circumvent marketplace processes, avoid AgriCart fees, or harm AgriCart or other marketplace participants.

This does not restrict information that is publicly available, independently developed without use of confidential information, lawfully received from another source, or required to be disclosed by law.


Intellectual Property Rights

The AgriCart platform, including its design, structure, branding, logos, text, graphics, software, workflows, marketplace configuration, and related materials, is owned by or licensed to AgriCart and is protected by applicable intellectual property laws.

Users may not copy, reproduce, scrape, reverse engineer, redistribute, modify, or commercially exploit any part of the platform without written permission from AgriCart, except as necessary to use the platform for its intended business purpose.

Users represent and warrant that they have all rights, licences, permissions, and authority necessary to submit content to AgriCart and to grant AgriCart the rights described in these Terms.

Users are responsible for ensuring their content does not infringe, misappropriate, or violate the intellectual property, privacy, publicity, contractual, confidentiality, or other rights of any third party.

By submitting content to AgriCart, users grant AgriCart permission to use, display, format, reproduce, distribute, edit, and promote that content for marketplace, marketing, order processing, catalog, and platform administration purposes.

AgriCart may review, format, edit, reject, remove, suspend, or restrict listings, images, descriptions, documents, messages, data, or other user-submitted content where AgriCart believes the content is inaccurate, incomplete, misleading, unlawful, infringing, unsafe, inappropriate, inconsistent with platform requirements, or otherwise creates risk.


Third-Party Services

AgriCart may integrate with or link to third-party services, including payment processors, shipping providers, tax calculation tools, accounting systems, analytics tools, hosting providers, seller websites, financing providers, or other business platforms.

AgriCart is not responsible for third-party services, websites, content, outages, fees, errors, policies, delays, security practices, or privacy practices. Use of third-party services may be subject to separate terms and conditions.


Disclaimers

The AgriCart platform is provided on an “as is” and “as available” basis. AgriCart does not guarantee that the platform will be uninterrupted, error-free, secure, or available at all times.

To the maximum extent permitted by law, AgriCart disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, title, quiet enjoyment, and any warranties arising from course of dealing or usage of trade.

AgriCart does not warrant or guarantee any product, listing, seller, buyer, supplier, manufacturer, price, quote, availability, delivery date, product performance, compliance status, warranty outcome, or transaction result, unless expressly stated in writing by AgriCart.


Limitation of Liability

To the maximum extent permitted by law, AgriCart will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, loss of data, production delays, operational downtime, product failure, or reputational harm.

AgriCart’s total liability for any claim arising from or related to the platform, these Terms, or any transaction facilitated through the platform will be limited to the greater of one hundred dollars or the amount of marketplace fees actually received by AgriCart in connection with the transaction giving rise to the claim, unless a different amount is required by applicable law.

Nothing in these Terms limits liability that cannot legally be limited or excluded.


Indemnification

Users agree to indemnify, defend, and hold harmless AgriCart and its directors, officers, employees, contractors, service providers, and affiliates from and against any claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from or related to the user’s breach of these Terms; use or misuse of AgriCart; products listed, sold, purchased, supplied, shipped, installed, resold, or used by the user; inaccurate, incomplete, misleading, unlawful, or infringing content or information provided by the user; violation of law, regulation, third-party rights, product safety requirements, tax obligations, import or export requirements, or marketplace participant obligations; or disputes between the user and another marketplace participant.


Suspension and Termination

AgriCart may suspend, restrict, or terminate access to the platform at any time where AgriCart reasonably believes that a user has violated these Terms, created risk for AgriCart or other users, provided inaccurate information, failed to pay amounts owing, misused the platform, violated law, created compliance risk, or acted inconsistently with the intended purpose of the marketplace.

Users may stop using the platform at any time. Certain obligations, including payment obligations, confidentiality, intellectual property protections, limitations of liability, indemnification, dispute resolution terms, and provisions intended to survive termination, will survive termination.


Force Majeure

AgriCart will not be liable for any delay, failure, interruption, or inability to perform resulting from events beyond its reasonable control, including acts of God, severe weather, fire, flood, natural disasters, labour disruptions, supply shortages, carrier delays, customs delays, war, terrorism, civil unrest, epidemics, pandemics, government actions, power failures, internet or telecommunications failures, cyberattacks, payment processor failures, third-party service interruptions, or other events beyond AgriCart’s reasonable control.


Changes to the Platform and These Terms

AgriCart may update, modify, suspend, restrict, replace, or discontinue any part of the platform, including features, workflows, integrations, product categories, account requirements, pricing tools, payment options, seller tools, or marketplace functionality, at any time.

AgriCart may update these Terms from time to time. Updated Terms will be posted on the platform with a revised “Last Updated” date. Continued use of AgriCart after updated Terms are posted means the user accepts the updated Terms. Where changes are material, AgriCart may provide additional notice where required or appropriate.


Governing Law and Disputes

These Terms are governed by the laws of the Province of Manitoba and the applicable laws of Canada, without regard to conflict of law principles.

Before starting formal proceedings, the parties agree to make reasonable efforts to resolve disputes involving AgriCart through good faith business discussions, unless urgent injunctive or equitable relief is required.

Unless otherwise required by law or agreed in writing, any dispute arising from or related to these Terms, the platform, or any AgriCart marketplace activity will be resolved in the courts located in Winnipeg, Manitoba, Canada.


General Terms

These Terms do not create a partnership, joint venture, employment, franchise, agency, fiduciary, or exclusive relationship between AgriCart and any user. Marketplace participants act independently unless expressly agreed otherwise in writing.

Users may not assign or transfer their rights or obligations under these Terms without AgriCart’s prior written consent. AgriCart may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, financing, restructuring, sale of assets, corporate reorganization, or transfer of platform operations.

If any part of these Terms is found to be invalid, unlawful, or unenforceable, the remaining parts will continue in effect. AgriCart’s failure to enforce any provision of these Terms is not a waiver of its right to do so later.

These Terms, together with any applicable order terms, seller terms, written agreements, policies, and notices referenced on the platform, form the agreement between AgriCart and the user regarding use of the platform.
